Anthropic IPO Set to Deliver Massive Returns for Amazon Over Venture Backers
Amazon’s convertible notes and preferred equity position it as the biggest financial winner of Anthropic’s upcoming public offering, while traditional VC stakes remain below the 5% disclosure threshold.

Anthropic’s forthcoming IPO is unusual because none of its lead venture investors — Menlo Ventures, Sequoia, Sound Ventures, or Spark Capital — holds a 5% stake, the level that triggers disclosure in the principal‑stockholder table. At a $965 billion private valuation, even a $14 billion position translates to only about 1.5% ownership.
Amazon’s convertible notes dominate the upside
Amazon has funded Anthropic primarily through convertible notes, with $6.2 billion in principal outstanding as of June 30. Because the notes convert at the IPO price, their fair‑value on Amazon’s books has ballooned to roughly $97.9 billion, creating a non‑cash charge of $72.4 billion on Anthropic’s income statement for the first half of 2026.
In addition, Amazon purchased $10 billion of non‑voting preferred stock in the last two funding rounds, bringing its total committed capital to about $18 billion. The notes are capped at 12% of the fully diluted share count, but Amazon can waive that limit, and any unconverted portion rolls into future quarters.
Beyond equity gains, Anthropic has pledged to spend at least $110 billion on AWS over the next decade, guaranteeing Amazon a massive, recurring cloud‑revenue stream. Google also stands to benefit, holding an estimated 5.6% stake after recent dilution and maintaining its own cloud partnership.
